Agreement to Terms

These Terms of Use (these "Terms") are a legally binding agreement between you, personally or on behalf of an entity ("you"), and Real Property AI Corp, doing business as Alder ("Alder," "we," "us," or "our"), governing your use of alderpm.com and any related pages or subdomains (collectively, the "Site") and of the telephone numbers we publish for calls and text messages (the "Telephone Numbers").

By using the Site, or by calling or texting any of the Telephone Numbers, you acknowledge that you have read and understood these Terms and agree to be bound by them and by our Privacy Policy, which is incorporated by reference. If you do not agree, you are not authorized to use the Site and must stop.

The Site shows a sign-in form, but no accounts are available and none can be created.

Eligibility

You represent that you are at least 18, that you have the legal capacity to enter into these Terms, and that if you are acting for a company or other entity you have authority to bind it. The Site is intended for users in the United States and is not directed to any jurisdiction where using it would be contrary to law.

The Site and Our Services

The Site is provided for general informational purposes. It describes our property management services, accepts owner inquiries, and accepts agent referral-program applications.

A referral-program application does not enroll the applicant or create a right to payment. The program starts only after the brokerages sign a separate written referral agreement.

Nothing on the Site is an offer to manage your property, and nothing you submit through it obliges us to. We manage property only under a separate written management agreement signed by both parties, and that agreement — not these Terms — governs the service, the fees, and the responsibilities of each side. Anything we tell you before then about pricing, timing, or what we would do is preliminary.

Descriptions of our practices on the Site describe how we intend to operate. They are not warranties of a particular result, and nothing on the Site is legal, tax, accounting, or investment advice.

SMS Terms and Conditions

Program name and description

Our text messaging program is called Alder. It is operated by Real Property AI Corp, doing business as Alder ("Alder," "we," "us," or "our"). We publish the Telephone Numbers in two places: a leasing number in each listing for the properties we manage, and the maintenance line for residents of those properties, (510) 956-6143, on the Site at alderpm.com/maintenance.

Message types

When you text or call a leasing number, an automated leasing assistant answers questions about availability, pricing, application requirements, and tour scheduling. When you text or call the maintenance line, an automated assistant takes the details of your request and opens it for our team. In both cases one of us may follow up. Every message we send is a conversational reply about the inquiry or the request you started. We send no recurring marketing or promotional messages.

How to opt in

You opt in by sending a text message to a Telephone Number, or by calling one and agreeing to receive text messages. By doing so you consent to receive replies from Alder, including replies delivered by an automated system. Consent is collected for Alder only and is not shared with or transferred to any other business. Your consent is not a condition of renting any property, of any purchase, or of receiving maintenance under your lease.

Message frequency

Message frequency varies with your conversation.

Cost

Message and data rates may apply. Your mobile carrier bills them. Carriers are not liable for delayed or undelivered messages.

How to opt out

Reply STOP to any message to opt out of text messages from that number. We will send one confirmation and nothing further from it unless you contact us again.

Your information

Our Privacy Policy describes what we collect when you call or text and how we use it. We do not share, sell, or provide your mobile phone number or messaging consent data to third parties or affiliates for marketing or promotional purposes.

Acceptable Use

You agree to use the Site and the Telephone Numbers only for lawful purposes and in accordance with these Terms. You agree not to:

• submit information that is false, inaccurate, or misleading, or that belongs to somebody else without their authorization;
• use the Site or the Telephone Numbers to harass, abuse, or harm anyone, or to send unsolicited communications;
• attempt to gain unauthorized access to the Site, its servers, or related systems, or get around any security feature;
• use any robot, spider, scraper, or other automated means to access, collect, or copy any part of the Site; or
• interfere with, disrupt, or place an undue burden on the Site or its infrastructure.

We may restrict or end anyone's access to the Site, and decline to continue any call or messaging conversation, at our discretion and without notice or liability.

Intellectual Property Rights

The Site and its contents, features, and functionality, including all text, graphics, design, and compilations, together with the Alder name, logo, and marks, are owned by us, our licensors, or other providers, and are protected by United States and international copyright, trademark, and other intellectual property laws. Photographs on the Site may be licensed from third parties and remain subject to their own licenses. Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and view the Site for your personal or internal business use. Any other use requires our prior written consent. All rights not expressly granted are reserved.

Third-Party Websites and Services

The Site links to and relies on services run by third parties, including the providers named in our Privacy Policy. We do not control and are not responsible for the content, accuracy, availability, or practices of any third party, and your use of any third-party site or service is subject to that party's own terms.

Privacy

Our Privacy Policy explains how we collect, use, and disclose personal information in connection with the Site and the Telephone Numbers, and is incorporated into these Terms by reference. The Site is hosted in the United States, and by using it you consent to your information being processed and stored there.

Electronic Communications

By using the Site or contacting us, you consent to receive communications from us electronically, including by email and text message. You agree that agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that they be in writing.

Disclaimer of Warranties

THE SITE, THE TELEPHONE NUMBERS, AND ALL INFORMATION, MATERIALS, AND COMMUNICATIONS PROVIDED THROUGH THEM, INCLUDING ANY AUTOMATED RESPONSE TO A CALL OR TEXT MESSAGE, ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT ANY INFORMATION OR AUTOMATED RESPONSE WILL BE ACCURATE OR COMPLETE, OR THAT ANY MESSAGE WILL BE DELIVERED. THIS SECTION DOES NOT LIMIT ANY OBLIGATION WE OWE YOU UNDER A SIGNED MANAGEMENT AGREEMENT.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL ALDER OR ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS, ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE OR THE TELEPHONE NUMBERS, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100). THIS LIMIT APPLIES TO THE SITE ONLY AND DOES NOT APPLY TO A SIGNED MANAGEMENT AGREEMENT.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages, so some of the above may not apply to you. In that case our liability is limited to the greatest extent the law permits.

Indemnification

You agree to defend, indemnify, and hold harmless Alder and its officers, directors, employees, and agents from any claims, liabilities, damages, judgments, awards, losses, costs, and expenses, including reasonable attorneys' fees, arising out of your use of the Site or the Telephone Numbers, your breach of these Terms, or your violation of any law or the rights of any third party. We may assume the exclusive defense and control of any matter subject to indemnification by you, at your expense, and you agree to cooperate.

Term and Termination

These Terms remain in effect while you use the Site or the Telephone Numbers. We may modify, suspend, or discontinue the Site or any part of it, or deny anyone access, at our discretion and without notice or liability. The provisions that by their nature should survive termination — intellectual property, disclaimers, limitation of liability, indemnification, and governing law — will survive.

Governing Law and Venue

These Terms, and any dispute arising out of or relating to them or the Site, are governed by the laws of the State of Delaware, without regard to its conflict of laws principles, and any such dispute will be brought exclusively in the state or federal courts located in Delaware. You consent to the personal jurisdiction of those courts and waive any objection to venue there and any defense of inconvenient forum. Nothing here waives any right you have under the law of the state where you live that cannot be waived by agreement.

Changes to These Terms

We may revise these Terms at any time. The date at the top shows when they were last revised, and a revision takes effect when posted. Continuing to use the Site after a revision is posted means you accept it.

Miscellaneous

These Terms and our Privacy Policy are the entire agreement between you and Alder about the Site and the Telephone Numbers, and supersede all earlier understandings on that subject. They do not supersede a signed management agreement. If any provision is held unlawful, void, or unenforceable, it is severable and the rest stays in force. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our written consent; we may assign them freely. Nothing here creates a partnership, joint venture, employment, or agency relationship. Headings are for convenience and have no legal effect.
