Agreement to Terms

These Terms of Use (these "Terms") constitute a legally binding agreement between you, whether personally or on behalf of an entity ("you"), and Real Property AI Corp, doing business as Alder ("Alder," "we," "us," or "our"), governing your access to and use of alderpm.com and any related pages or subdomains (collectively, the "Site") and your use of the telephone numbers we publish for calls and text messages (the "Telephone Numbers").

By accessing or using the Site, or by calling or texting any of the Telephone Numbers, you acknowledge that you have read and understood these Terms and agree to be bound by them and by our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree to these Terms, you are not authorized to use the Site and must discontinue use immediately.

The Site does not offer user accounts or registration, and no login is required to use it.

Eligibility

You represent and warrant that you are at least 18 years of age, that you have the legal capacity to enter into these Terms, and that, if you are using the Site on behalf of a company or other entity, you have the authority to bind such entity to these Terms. The Site is intended for users located in the United States and is not directed to any jurisdiction in which such use would be contrary to law.

The Site and Our Services

The Site is provided for general informational purposes. It describes our business and enables you to request an estimated valuation of your property management company and to request materials such as our walkthrough video.

Any valuation figure, range, or other estimate generated through the Site is preliminary and is based solely on the information you supply. It does not constitute an appraisal, an offer or commitment to purchase, or financial, legal, tax, accounting, or investment advice, and it may not be relied upon as such. No binding agreement to purchase or sell any business or asset arises unless and until the parties execute a definitive written agreement.

Text Messaging and Phone Calls

The program

Our text messaging program operates under the name Alder. We publish the Telephone Numbers in listings and advertisements for the properties we and our affiliated property management companies manage. When you text or call any of the Telephone Numbers, an automated leasing assistant responds to your inquiry, including questions regarding availability, pricing, application requirements, and tour scheduling. A member of our team may also follow up. Messages we send relate to the inquiry you initiate. We do not send recurring marketing or promotional text message campaigns.

Consent

All messaging between you and us is conversational and is initiated by you. By texting or calling any of the Telephone Numbers, you consent to receive text messages from us in response, including messages delivered by an automated system. Your consent is not a condition of renting any property or of any purchase.

Message frequency and cost

Message frequency varies and depends on your interactions with us. Message and data rates may apply, and any such charges are billed by, and payable to, your mobile service provider. Carriers are not liable for delayed or undelivered messages.

HELP and STOP

For assistance, reply HELP to any message or contact us at support@alderpm.com. To stop receiving text messages, reply STOP to any message received from the applicable Telephone Number. We will send a single confirmation message, after which we will send no further text messages from that Telephone Number unless you contact us again.

Your information

Our Privacy Policy describes the information we collect when you call or text us and how we use it. We do not share, sell, or otherwise provide your mobile telephone number or messaging consent information to any third parties or affiliates for marketing or promotional purposes.

Acceptable Use

You agree to use the Site and the Telephone Numbers only for lawful purposes and in accordance with these Terms. You agree not to:

• submit information that is false, inaccurate, or misleading, or that belongs to another person without that person's authorization;
• use the Site or the Telephone Numbers to harass, abuse, or harm any person, or to send unsolicited or unauthorized communications;
• attempt to gain unauthorized access to the Site, its servers, or any related systems, or circumvent any security feature of the Site;
• use any robot, spider, scraper, or other automated means to access, collect, or copy any portion of the Site; or
• interfere with, disrupt, or place an undue burden on the Site or its infrastructure.

We reserve the right, in our sole discretion and without notice or liability, to restrict or terminate any person's access to the Site and to decline to respond to or discontinue any call or messaging conversation.

Intellectual Property Rights

The Site and its contents, features, and functionality, including all text, graphics, design, and compilations, together with the Alder name, logo, and marks, are owned by us, our licensors, or other providers of such material and are protected by United States and international copyright, trademark, and other intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and view the Site for your personal or internal business use. Any other use, including reproduction, modification, distribution, or public display, requires our prior written consent. All rights not expressly granted are reserved.

Third-Party Websites and Services

The Site contains links to, and relies on services operated by, third parties, including the service providers identified in our Privacy Policy. We do not control and are not responsible for the content, accuracy, availability, or practices of any third party, and your use of any third-party website or service is subject to that party's own terms and policies.

Privacy

Our Privacy Policy explains how we collect, use, and disclose personal information in connection with the Site and the Telephone Numbers, and is incorporated into these Terms by reference. The Site is hosted in the United States, and by using it you consent to the processing and storage of your information in the United States.

Electronic Communications

By using the Site or contacting us, you consent to receive communications from us electronically, including by email and text message. You agree that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communications be in writing.

Disclaimer of Warranties

THE SITE, THE TELEPHONE NUMBERS, AND ALL INFORMATION, MATERIALS, AND COMMUNICATIONS PROVIDED THROUGH THEM, INCLUDING ANY VALUATION ESTIMATE AND ANY AUTOMATED RESPONSE TO A CALL OR TEXT MESSAGE, ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT ANY INFORMATION OR AUTOMATED RESPONSE WILL BE ACCURATE OR COMPLETE, OR THAT ANY MESSAGE WILL BE DELIVERED.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL ALDER OR ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS, ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE OR THE TELEPHONE NUMBERS, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS, THE SITE, OR THE TELEPHONE NUMBERS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages, so some of the above exclusions and limitations may not apply to you. In that case, our liability is limited to the greatest extent permitted by law.

Indemnification

You agree to defend, indemnify, and hold harmless Alder and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to your use of the Site or the Telephone Numbers, your breach of these Terms, or your violation of any applicable law or the rights of any third party. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, at your expense, and you agree to cooperate with our defense of such claims.

Term and Termination

These Terms remain in full force and effect while you use the Site or the Telephone Numbers. We may, in our sole discretion and without notice or liability, modify, suspend, or discontinue the Site or any part of it, or deny any person access to it. The provisions of these Terms that by their nature should survive termination, including those governing intellectual property, disclaimers, limitation of liability, indemnification, and governing law, will survive.

Governing Law and Venue

These Terms, and any dispute arising out of or relating to them, the Site, or the Telephone Numbers, are governed by the laws of the State of Delaware, without regard to its conflict of laws principles. You agree that any such dispute will be brought exclusively in the state or federal courts located in the State of Delaware, and you consent to the personal jurisdiction of those courts and waive any objection to the laying of venue in those courts and any defense of inconvenient forum.

Changes to These Terms

We may revise these Terms at any time in our sole discretion. The effective date at the top of this page indicates when they were last revised, and any revision takes effect when posted. Your continued use of the Site or the Telephone Numbers after a revision is posted constitutes your acceptance of the revised Terms. You are responsible for reviewing these Terms periodically.

Miscellaneous

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Alder regarding the Site and the Telephone Numbers and supersede all prior and contemporaneous understandings, agreements, and representations on that subject. If any provision of these Terms is held to be unlawful, void, or unenforceable, that provision will be deemed severable and will not affect the validity and enforceability of the remaining provisions. Our failure to enforce any provision does not constitute a waiver of that provision or of any other. You may not assign or transfer these Terms without our prior written consent; we may assign them freely. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and us. Section headings are for convenience only and have no legal effect.
